FormServ AI Terms of Service

1. Acceptance of These Terms

By accessing or using FormServ AI (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. We may update these Terms at any time; continued use after changes constitutes acceptance.

2. The Service

FormServ AI is an AI-powered form and survey platform that lets you create surveys, collect responses via traditional forms or conversational (chat/voice) interfaces, and generate AI-driven insights from the data collected. The Service is provided by Alent LLC.

3. Your Account

3.1 Registration

You must register for an account to create surveys. You agree to provide accurate and complete information and to keep it current.

3.2 Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@alent.net if you suspect unauthorized access.

3.3 One Account Per Person

Each individual may hold one account. Automated or bot-created accounts are not permitted.

4. Your Content

4.1 Ownership and License

You retain ownership of the surveys, questions, branding, and other content you create (“Your Content”). By uploading content to the Service, you grant us a limited, worldwide, royalty-free license to host, process, and display it as necessary to operate the Service. This license ends when you delete the content or close your account.

4.2 Respondent Data

Survey responses are collected on your behalf. You are the data controller for respondent data and are responsible for ensuring your surveys comply with applicable data protection laws (e.g., GDPR, CCPA). We act as a data processor on your behalf.

5. Acceptable Use

You agree not to use the Service to:

• Violate any law, regulation, or third-party right
• Distribute spam, malware, or phishing content
• Collect sensitive personal data (e.g., health, financial, government ID) without appropriate safeguards and consent
• Impersonate any person or entity
• Interfere with or disrupt the Service or its infrastructure
• Circumvent rate limits, access controls, or security measures
• Scrape or mine data from the Service
• Use the Service in a way that is deceptive to respondents

We may suspend or terminate your account for violations of this section.

6. Plans, Payments, and Billing

The Service offers free and paid plans. Paid plans are billed monthly through Stripe. You authorize us to charge your payment method on file for the applicable subscription fees.

• Free plan: Subject to usage limits as described on our pricing page. We may adjust these limits with notice.
• Upgrades: Take effect immediately. You will be billed a prorated amount for the remainder of the billing cycle.
• Downgrades and cancellations: Take effect at the end of the current billing cycle. No refunds for partial months.
• Failed payments: If a payment fails, we may suspend access to paid features until the balance is resolved.

7. AI Features

The Service uses third-party AI models (including Anthropic Claude) to generate survey questions, insights, and conversational responses. AI outputs are provided as-is and may contain errors. You are responsible for reviewing AI-generated content before relying on it.

Voice features use third-party providers for speech-to-text (Deepgram) and text-to-speech (OpenAI). Audio is processed in transit and is not stored beyond what is necessary for real-time processing.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for any downtime.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALENT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Alent LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

You may close your account at any time through the settings page or by contacting us. We may suspend or terminate your account for violations of these Terms or for any reason with 30 days' notice. Upon termination, your data will be deleted in accordance with our Privacy Policy.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Maryland, United States, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Maryland.

14. Miscellaneous

• If any provision is found unenforceable, the remaining provisions remain in effect.
• Our failure to enforce a provision is not a waiver of it.
• These Terms constitute the entire agreement between you and us.
• You may not assign or transfer your account without our consent.
